Terms and Conditions

Terms governing use of the Clever Calicco website, purchases and marketing services.

These Terms and Conditions (the "Terms") govern your use of the Clever Calicco website and any products or services purchased from or provided by Clever Calicco ("Clever Calicco," "we," "us" or "our"). By using the website, submitting a form, booking a consultation, making a purchase or engaging our services, you agree to these Terms.

Relationship to client agreements

Marketing services may also be governed by a proposal, statement of work, order form, service agreement or other written agreement between Clever Calicco and the client (a "Client Agreement"). If a Client Agreement conflicts with these Terms, the Client Agreement will control for the services covered by that agreement.

Website use

You may use this website for lawful personal and business purposes. You must not:

  • use the website in a way that violates applicable law or the rights of another person;
  • attempt to gain unauthorized access to the website, accounts, systems or data;
  • introduce malicious code, interfere with website operation or attempt to test its security without written authorization;
  • scrape, reproduce or exploit website content except as permitted by law or written permission;
  • impersonate another person or submit false or misleading information; or
  • use comments or forms to distribute spam, unlawful material or abusive content.

Information and marketing guidance

Website content is provided for general informational purposes. It is not legal, accounting, tax or financial advice. Marketing recommendations depend on the information available, business conditions, audience, implementation, budget, timing and other factors. We do not guarantee specific rankings, traffic, leads, revenue or other business results.

Services

The scope, deliverables, timeline, fees, revision process and responsibilities for client services will be described in the applicable Client Agreement. The client agrees to provide timely, accurate information, materials, access, decisions, approvals and feedback reasonably required to perform the services.

Changes outside the agreed scope may require a revised timeline, additional fees or a separate agreement. Delays in client materials, access, approvals or feedback may affect schedules and outcomes.

Purchases and payment

Products and services may be purchased directly through payment links provided by Stripe or ThriveCart. Prices, payment schedules, taxes and included services will be shown at checkout or in the applicable Client Agreement. You authorize the payment provider to process the selected payment method according to its terms.

You are responsible for providing accurate billing and contact information and for any applicable taxes not collected at checkout.

Refunds

Refund requests are considered on a case-by-case basis, taking into account the product or service purchased, work already completed, resources committed, third-party costs and the terms presented at checkout or in a Client Agreement. To request a refund, contact hello@clevercalic.co. A request does not guarantee that a refund will be approved.

Ownership of website content

Unless otherwise identified, the website and its content, branding, graphics, copy, frameworks, downloads and other materials are owned by or licensed to Clever Calicco and are protected by applicable intellectual-property laws. You may not reproduce, modify, distribute, sell or commercially exploit this material without written permission, except as allowed by law.

Client materials

The client retains ownership of materials, information, trademarks and other intellectual property supplied to Clever Calicco. The client represents that it has the rights and permissions required for Clever Calicco to use those materials to perform the services.

Ownership of intellectual property developed for clients

For this section, "Contractor" means Clever Calicco and "Client" means the person or organization receiving services.

All intellectual property and related material, including any trade secrets, moral rights, goodwill, relevant registrations or applications for registration, and rights in any patent, copyright, trademark, trade dress, industrial design and trade name (the "Intellectual Property") that is developed or produced under the applicable Client Agreement will be the sole property of the Client. The use of the Intellectual Property by the Client will not be restricted in any manner.

The Contractor may not use the Intellectual Property for any purpose other than that contracted for in the Client Agreement except with the written consent of the Client. The Contractor will be responsible for damages resulting from unauthorized use of the Intellectual Property.

Comments and submitted content

You retain ownership of content you submit through comments or other public areas. By submitting content for publication, you grant Clever Calicco a non-exclusive, worldwide, royalty-free licence to host, reproduce, display and distribute that content as necessary to operate the website. You represent that you have the right to submit the content and that it does not violate another person's rights.

We may moderate, refuse, edit or remove comments that are unlawful, abusive, misleading, promotional, irrelevant, infringing or otherwise inappropriate.

Third-party services and links

The website and our services may use or link to third-party platforms, including Google, Gmail, Moxie, Stripe and ThriveCart. Third-party services are governed by their own terms and privacy policies. Clever Calicco is not responsible for the availability, security, content or practices of third-party services outside our reasonable control.

Disclaimer of warranties

To the fullest extent permitted by law, the website and general website content are provided "as is" and "as available." We do not warrant that the website will always be available, uninterrupted, secure or error-free. Any warranties or service commitments stated in a Client Agreement remain subject to that agreement.

Limitation of liability

To the fullest extent permitted by law, Clever Calicco will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data, goodwill or business opportunities arising from website use, third-party services or matters outside our reasonable control. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

Suspension and termination

We may restrict or terminate access to the website for conduct that violates these Terms, threatens website security or harms Clever Calicco or another person. The suspension or termination of client services will be governed by the applicable Client Agreement.

Governing law

These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable in Alberta, without regard to conflict-of-law principles. Subject to any dispute-resolution process in a Client Agreement, disputes will be submitted to the courts of Alberta.

Changes to these Terms

We may update these Terms as the website, services or legal requirements change. The revised version will be posted on this page with a new effective date. Continued use of the website after an update means you accept the revised Terms.
